Terms of Service

1. Agreeing to these terms
By using this site or buying anything from HealthierSpan, LLC ("we", "us", "our"), you agree to what follows. If you do not agree, please stop using the site and the services.
2. What we do
2.1 The service. HealthierSpan, LLC provides nutrition and health coaching, delivered online and through related channels.
2.2 Availability. Sessions run at the times you and Emily agree. We may change, pause or discontinue a service with reasonable notice, and availability can vary with technical or business needs.
2.3 Changes. We may update the services at any time. Material changes are announced 30 days in advance.
3. Paying
3.1 Method. All payments are made through Stripe.
3.2 Terms. Payment is due in full before the service is delivered. We do not offer credit terms. Prices are in U.S. dollars, and we give 30 days' notice before a price changes.
3.3 Records. You get a receipt for every transaction. We keep payment records for one year.
4. What we expect from you
4.1 Your account. Give accurate, current information. Keep your login details secure on whatever platform we use, and tell us immediately if someone else gets access.
4.2 What you may not do.
- Use the services for anything illegal
- Share your account credentials with anyone
- Try to disrupt or break into our systems
- Commit fraud
- Infringe anyone's intellectual property
- Harass another client or a member of our staff
4.3 What you send us. You are responsible for everything you submit. Keep communication civil and professional. We may review communications for quality.
5. Intellectual property
5.1 Our material. The website, its content and the materials that come with a program are ours. You get a limited license to use them yourself, for their intended purpose. You may not reproduce, distribute or modify them without written permission.
5.2 Other people's material. Third-party trademarks and content belong to their owners, and their own licenses and terms apply.
6. Privacy
6.1 What we collect. Contact and identification details, payment and transaction records, service usage data, and records of our communications. The Privacy Policy has the full detail.
6.2 How we use it. Only to deliver the service and run the business. We never sell it, and we never share it without authorization.
6.3 How we protect it. We use appropriate security measures and keep transaction records confidential.
7. Limits on the service
7.1 As is. The services are provided "as is" and "as available". We cannot guarantee uninterrupted access, and maintenance or updates may cause short interruptions.
7.2 Results. We work hard, and we cannot promise a particular outcome. Results depend on your own circumstances.
7.3 Your equipment. You need a compatible device and an internet connection. We help with technical problems where we can, but we cannot promise to solve every one.
8. Liability
8.1 Limits. To the maximum extent the law allows, our liability is limited to the amount you paid us. We are not liable for indirect, consequential or punitive damages, or for the acts of third parties.
8.2 Events outside our control (force majeure). We are not liable for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, government action and technical failure.
9. Indemnity
You agree to indemnify us and hold us harmless against claims arising from your breach of these terms, your violation of the law or of someone else's rights, your negligence or misconduct, and any unauthorized use of your account.
10. Ending the agreement
10.1 By us. We may suspend or end your access immediately for breaching these terms, fraud or illegal activity, non-payment, misuse of the service, or harassing or abusing anyone in the community or on our staff.
10.2 By you. You may stop at any time, subject to the Refund Policy, any service obligations still outstanding, and settlement of anything unpaid.
10.3 What happens then. Access ends immediately. Your data may be deleted after one year. The clauses meant to survive termination do survive it.
11. Disputes
11.1 Governing law. New York State law governs these terms, without regard to conflict of law principles.
11.2 How we resolve them. First we negotiate directly and in good faith. If that fails, binding mediation. Any legal proceedings go to the courts of Saratoga County.
11.3 Class actions. You agree to resolve disputes individually, and you waive the right to take part in a class action or collective proceeding.
12. General
12.1 The whole agreement. These terms, the Privacy Policy and the Refund Policy are the complete agreement between us.
12.2 If part of it fails. If any provision is found invalid, the rest stays in force.
12.3 Letting something go once. Not enforcing a provision once does not waive the right to enforce it later.
12.4 Assignment. We may assign these terms. You may not, without our written consent.
12.5 Updates. We update these terms from time to time and will tell you about material changes. Continuing to use the services means you accept the new version.
